Syndicates

The term ‘property syndicate’ is non-specific and may refer to a number of different methods of co-investing in property.

There are a range of options available to groups of investors wishing to co-invest in property, each method having its particular benefits. Validus works with specialist legal firms in order to help clients to take advantage of co-ownership. We give some brief examples of a small selection of co-investing structures below:

  • UK-based Limited Companies provide one of the simplest methods of co-investment in property. A shareholders agreement is drawn up reflecting the contributions of each participant. However, such companies are not tax transparent and they may not be the most tax efficient structures
  • UK Limited Liability Partnerships (LLPs) are corporate entities but are tax transparent. This structure offers some of the independence of a UK partnership but it is the LLP not the individuals who are liable for business debts
  • UK Trust-based Co-ownership schemes comprise a maximum of twenty people all of whom must take an active part in the decision-making of the scheme’s activities, such as the acquisition and disposal of property. Here participants own a portion of the property not units in an entity and the scheme is tax transparent
